These Terms and Conditions ("Terms") govern your use of the MICRA-BEV platform and related services ("Services") provided by Meridian Billing Services LLC ("Meridian," "we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
"Platform" means the MICRA-BEV software platform accessible at psybilling.com and its subdomains, including the REST API, tenant dashboard portal, embedded widget, and patient intake links.
"Tenant" or "Customer" means any organization or individual that creates an account on the Platform to use the Services.
"User" means any individual authorized by a Tenant to access the Platform, including administrators, billing staff, and other personnel.
"Patient Data" means any information related to a patient's identity, insurance coverage, or health benefits processed through the Platform, including Protected Health Information (PHI) as defined under HIPAA.
Meridian provides a technology platform that enables healthcare practices to capture insurance card images, extract data using artificial intelligence, verify benefits and eligibility through electronic data interchange (EDI), and deliver structured results for billing workflows. The Services include:
To use the Services, you must register for an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials, API keys, and access tokens. You must notify us immediately of any unauthorized use of your account. We are not liable for any loss arising from unauthorized use of your credentials.
Each User account is for a single individual. Sharing login credentials between multiple individuals is prohibited. Tenant administrators are responsible for managing User access within their organization.
The Services are offered under subscription plans with varying verification quotas and rate limits. Current plans and pricing are published on our website. By selecting a plan, you agree to pay the applicable fees. Key billing terms:
You agree to use the Services only for lawful purposes related to healthcare insurance verification and billing. You shall not:
Meridian operates as a Business Associate under HIPAA. Prior to processing any PHI, Tenants who are Covered Entities or Business Associates must execute a Business Associate Agreement (BAA) with Meridian. Key compliance provisions:
Tenants retain all ownership rights to their data, including Patient Data processed through the Platform. Meridian processes Tenant data solely to provide the Services and does not use Tenant data for any other purpose except:
Upon termination, Tenants may request export of their data. Meridian will retain data for the period required by applicable law and the configured retention policy, after which it will be securely destroyed.
By providing a mobile phone number during account registration or in your profile settings, you consent to receive transactional SMS messages from Meridian for account security purposes, including password reset codes and security alerts. You understand that:
We use commercially reasonable efforts to maintain the availability of the Services. However, we do not guarantee uninterrupted or error-free operation. Scheduled maintenance will be communicated in advance when feasible. Our liability for service outages is limited to service credits as specified in the applicable Service Level Agreement (SLA), if any.
The Services integrate with third-party services including clearinghouses (Availity, CLAIM.MD), SMS providers (Twilio), and others. We are not responsible for the availability, accuracy, or performance of third-party services. Eligibility verification results are provided as received from clearinghouses and payers; Meridian does not guarantee the accuracy of payer responses.
The Platform, including its software, AI models, documentation, trademarks, and proprietary technology, is the exclusive property of Meridian Billing Services LLC. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Services during the subscription term. You acquire no ownership rights in the Platform.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MERIDIAN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF DATA, CLAIM DENIALS, OR BILLING ERRORS. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICES SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
The Services are tools to assist with insurance verification and are not a substitute for professional billing judgment. Meridian does not guarantee the accuracy of OCR extraction, eligibility responses, or cost estimates. Users are responsible for reviewing and confirming all data before relying on it for billing or clinical decisions.
You agree to indemnify, defend, and hold harmless Meridian and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.
Either party may terminate the subscription with 30 days' written notice. We may suspend or terminate your access immediately if you violate these Terms or fail to pay applicable fees. Upon termination:
These Terms are governed by the laws of the Commonwealth of Massachusetts without regard to its conflict of law provisions. Any disputes arising from these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in Boston, Massachusetts, except that either party may seek injunctive relief in a court of competent jurisdiction.
We reserve the right to modify these Terms at any time. Material changes will be communicated via email to the address associated with your account at least 30 days prior to taking effect. Your continued use of the Services after the effective date constitutes acceptance of the modified Terms.
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
These Terms, together with our Privacy Policy, any executed BAA, and any applicable SLA, constitute the entire agreement between you and Meridian regarding the Services and supersede all prior agreements and understandings.
